THAILIO may terminate or permanently disable your account at any time, with or without prior notice, if we reasonably believe that:

  • you violated these Terms;
  • you repeatedly violated Community Guidelines;
  • you engaged in fraudulent conduct;
  • your account presents security risks;
  • your account infringes intellectual property rights;
  • your account is used for unlawful purposes;
  • continued access could expose THAILIO to legal liability;
  • termination is required by applicable law.

Termination may include:

  • removal of User Content;
  • revocation of Platform access;
  • cancellation of usernames;
  • disabling messaging;
  • deletion of associated information, subject to legal retention requirements.

Termination does not release you from obligations incurred prior to termination.

42. Your Right to Delete Your Account

You may request deletion of your account through the settings provided within the Platform or by contacting THAILIO support.

Account deletion requests may require identity verification.

Certain information may continue to be retained where necessary to:

  • comply with legal obligations;
  • resolve disputes;
  • detect fraud;
  • enforce these Terms;
  • maintain security;
  • satisfy legitimate business interests;
  • preserve backups for a reasonable period.

Deletion of your account does not automatically remove all content previously shared by others or content retained pursuant to applicable law.

43. Appeals

Where appropriate, THAILIO may provide users with an opportunity to appeal certain enforcement decisions.

Submission of an appeal does not guarantee reversal of any decision.

THAILIO reserves the right to uphold, modify, or reverse enforcement actions based on the available information, applicable law, and Platform policies.

Our determination following review shall be final unless otherwise required by law.

  • THE AMOUNT PAID BY YOU TO THAILIO, IF ANY, DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, THE ABOVE LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

46. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless THAILIO LLC, its parent companies, subsidiaries, affiliates, successors, assigns, members, managers, officers, directors, employees, contractors, licensors, service providers, business partners, agents, and representatives (collectively, the “THAILIO Parties“) from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses (including reasonable attorneys’ fees and litigation expenses) arising out of or relating to:

THAILIO reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with THAILIO in the defense of any such claim.

47. Release

To the maximum extent permitted by applicable law, you release the THAILIO Parties from any and all claims, demands, liabilities, damages, losses, and causes of action arising out of or relating to disputes between you and other users, advertisers, business partners, or third parties.

THAILIO is not responsible for the conduct, actions, omissions, statements, products, services, or content of third parties or other users.

If you are a resident of a jurisdiction that limits such releases, this provision shall apply only to the maximum extent permitted by applicable law.

48. Force Majeure

THAILIO shall not be liable for any delay, interruption, failure, or inability to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to:

  • acts of God;
  • natural disasters;
  • floods;
  • earthquakes;
  • hurricanes;
  • pandemics;
  • epidemics;
  • fires;
  • explosions;
  • war;
  • terrorism;
  • civil unrest;
  • labor disputes;
  • governmental actions;
  • sanctions;
  • embargoes;
  • internet outages;
  • utility failures;
  • cyberattacks;
  • denial-of-service attacks;
  • failures of telecommunications networks;
  • failures of cloud service providers; or
  • other unforeseen events beyond our reasonable control.

Performance shall be suspended for the duration of such event without liability.

49. Export Controls and Sanctions

You represent and warrant that:

  • you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions or embargoes;
  • you are not identified on any applicable government restricted-party list;
  • you will not use the Platform in violation of U.S. export control laws, sanctions regulations, or other applicable trade restrictions.

THAILIO reserves the right to restrict or terminate access where required to comply with applicable export control or sanctions laws.

50. Electronic Communications

By accessing or using the Platform, you consent to receive communications from THAILIO electronically.

Electronic communications may include:

  • emails;
  • in-app messages;
  • push notifications;
  • SMS messages (where applicable);
  • website notices; and
  • other electronic communications.

You agree that such communications satisfy any legal requirement that communications be in writing.

51. Electronic Signatures

You acknowledge and agree that:

  • clicking “Accept,” “Agree,” “Continue,” or similar buttons;
  • creating an account;
  • accessing or using the Platform; or
  • otherwise electronically indicating acceptance,

constitutes your electronic signature and creates a legally binding agreement between you and THAILIO.

You waive any objection to the enforceability of these Terms based solely on their electronic form or execution.

52. Governing Law

These Terms and any dispute arising out of or relating to the Platform or the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

53. Dispute Resolution

The parties agree to make reasonable efforts to resolve any dispute informally before initiating formal legal proceedings. If a dispute arises, you agree to first contact THAILIO and provide a written description of the dispute, including relevant supporting information.

The parties shall attempt in good faith to resolve the matter through informal negotiations.

If informal resolution is unsuccessful, the dispute shall be resolved in accordance with the arbitration provisions set forth below, unless prohibited by applicable law.

54. Binding Arbitration

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or the Services shall be resolved exclusively through final and binding arbitration rather than in court.

The arbitration shall:

  • be conducted by a mutually agreed arbitration provider or, if the parties cannot agree, by a provider selected in accordance with applicable law;
  • take place in the State of Wyoming unless otherwise agreed by the parties;
  • be conducted in the English language;
  • be governed by applicable federal and Wyoming law.

The arbitrator shall have exclusive authority to resolve disputes concerning the interpretation, applicability, enforceability, or formation of these Terms.

Judgment upon the arbitration award may be entered in any court of competent jurisdiction.

Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief where permitted by law.

55. Class Action Waiver

To the fullest extent permitted by law, you and THAILIO agree that all claims shall be brought solely in an individual capacity and not as:

  • a plaintiff or class member in any purported class action;
  • a representative action;
  • a collective action;
  • a consolidated action; or
  • a private attorney general action.

Unless both parties agree otherwise in writing, the arbitrator may not consolidate claims involving multiple parties.

If this waiver is determined to be unenforceable under applicable law, only that portion shall be severed, and the remaining provisions shall remain in effect.

56. Injunctive Relief

You acknowledge that any unauthorized use of the Platform, infringement of THAILIO’s intellectual property rights, misuse of confidential information, or violation of these Terms may cause irreparable harm for which monetary damages alone may be inadequate.

Accordingly, THAILIO shall be entitled to seek temporary, preliminary, permanent, or equitable injunctive relief, specific performance, or other equitable remedies without the necessity of posting a bond, to the extent permitted by applicable law.

57. Assignment

You may not assign, delegate, sublicense, or otherwise transfer any rights or obligations under these Terms without THAILIO’s prior written consent.

THAILIO may assign, transfer, delegate, or otherwise dispose of these Terms, in whole or in part, without restriction, including in connection with:

  • mergers;
  • acquisitions;
  • reorganizations;
  • corporate restructurings;
  • financing transactions;
  • sales of assets; or
  • operation of the Platform.

These Terms shall bind and benefit the parties and their permitted successors and assigns.

58. Severability

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

The invalidity of any individual provision shall not affect the validity or enforceability of any other provision.

59. No Waiver

The failure of THAILIO to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

Any waiver shall be effective only if made expressly in writing by an authorized representative of THAILIO.

A waiver of one breach shall not constitute a waiver of any subsequent or continuing breach.

60. Entire Agreement

These Terms, together with our Privacy Policy, Community Guidelines, and any additional policies or legal notices expressly incorporated by reference, constitute the entire agreement between you and THAILIO regarding your access to and use of the Platform.

They supersede all prior or contemporaneous communications, understandings, proposals, representations, and agreements, whether oral or written, relating to the subject matter of these Terms.

61. Survival

The following provisions shall survive termination or expiration of these Terms to the extent necessary to give them effect:

  • Ownership;
  • Intellectual Property;
  • Licenses;
  • User Content;
  • Payment Obligations (if applicable);
  • Indemnification;
  • Release;
  • Disclaimer of Warranties;
  • Limitation of Liability;
  • Dispute Resolution;
  • Arbitration;
  • Governing Law;
  • Class Action Waiver;
  • Confidentiality obligations;
  • Any other provision that by its nature is intended to survive termination.

62. Changes to These Terms

THAILIO reserves the right to modify, amend, supplement, or replace these Terms at any time.

If material changes are made, we will provide notice through one or more appropriate methods, including:

  • posting updated Terms on the Platform;
  • updating the “Last Updated” date;
  • sending email notifications where appropriate;
  • providing in-app notifications; or
  • other legally sufficient means.

Unless otherwise required by applicable law, revised Terms become effective upon publication.

Your continued use of the Platform after revised Terms become effective constitutes acceptance of the updated Terms.

If you do not agree to the revised Terms, you must discontinue use of the Services and, if desired, delete your account.

If you believe that content available on the Platform infringes your copyright, you may submit a written notice containing the information required by applicable law, including sufficient information to identify the copyrighted work, the allegedly infringing material, your contact information, a statement of good faith belief, and a statement made under penalty of perjury where required.
